Partner Program Terms

The business terms for approved meetergo Partners using Refer or Resell.

These Partner Program Terms apply between meetergo GmbH, Hauptstraße 44, 40789 Monheim am Rhein, Germany, and the business whose authorised company admin accepts them in meetergo. They apply only to approved business Partners and supplement the meetergo Terms of Service, the Privacy Notice, any applicable Data Processing Agreement, and written commercial terms agreed with the Partner.

If these Partner Program Terms conflict with the general Terms of Service on a Partner Program matter, these Partner Program Terms control. Individually agreed written commercial terms control over both for the subject they expressly cover.

The German version of these Partner Program Terms is authoritative. This English version is provided for convenience. If the versions differ, the German version controls.

1. Business eligibility and approval

The Partner confirms that it acts as a business and not as a consumer. The company admin accepting these terms confirms that they may bind the Partner company.

An application does not create a right to admission. meetergo may approve, reject, suspend, or revoke participation based on program eligibility, security, payment risk, abuse, or a breach of these terms. The Partner must keep its company, billing, tax, contact, and payment information accurate.

The Partner remains an independent business. It may not make commitments on behalf of meetergo, present itself as a meetergo employee, or promise product capabilities, prices, or service levels that meetergo has not confirmed.

2. Refer and Resell are separate

Each customer uses exactly one Partner model:

  • Refer, customer pays meetergo: meetergo contracts with and invoices the customer. The Partner may earn commission on eligible collected revenue.
  • Resell, Partner pays meetergo: the Partner buys meetergo from meetergo, contracts with and invoices its customer, and receives the wholesale discount for its effective Partner level.

The models do not stack for one customer. A customer cannot generate Refer commission and a Resell discount for the same service period. Partner benefits also do not combine with Cello, customer coupons, affiliate rewards, promotional prices, or another referral source unless meetergo expressly agrees in writing.

Cello is only the ordinary-user affiliate program. It is not used for approved Partner applications, customers, commission, or Resell billing.

Changing a customer between Refer and Resell requires written approval and a dated cutover. A change never creates an overlapping or retroactive benefit.

3. Partner levels

The earned level is based on settled eligible net software revenue actually paid to meetergo during the 12 months immediately before the event being rated. Direct subscription revenue paid by Refer customers and Partner wholesale revenue paid for Resell customers both count. The revenue from the current event is excluded from its own rate calculation and counts toward the next event.

Eligible revenue excludes VAT and other taxes, refunds, credits, chargebacks, unpaid or written-off amounts, setup and professional service fees, payment fees, and pass-through or metered usage such as telephony, SMS, email delivery, and metered AI. A later refund, credit, chargeback, or write-off reduces qualifying revenue.

The effective level is the higher of the earned level and a written minimum level approved by meetergo. Resell requires at least Silver. meetergo may approve Silver or another minimum level for a new reseller based on the written commercial agreement. A changed minimum level applies only to later financial events and never rewrites a frozen statement, invoice, or commission record.

Rates are applied prospectively. meetergo may correct a calculation error through a visible adjustment, but does not recalculate a valid historical record merely because a Partner later moves to another level.

4. Refer commission

A Refer customer is eligible only when meetergo accepts the referral, links it to a new paying customer, and collects an eligible recurring software payment. A submitted, qualified, or won referral status alone is not a commission promise.

The commission rate is the Refer rate for the Partner's effective level immediately before the eligible customer payment. Commission is earned only during the first 12 months starting with that customer's first eligible paid invoice.

Commission is calculated on collected net recurring software revenue. It excludes the amounts listed in section 3 and any customer discount or credit. Each amount remains pending for 45 days after collection. It becomes available only if the underlying payment remains valid.

Available commission is payable once the balance reaches EUR 100. Smaller valid balances carry forward. meetergo may require complete tax and payment details and, where legally required, a valid Partner invoice before payout.

If an eligible payment is later refunded, credited, charged back, or written off, meetergo may reverse pending commission or offset an overpayment against future amounts. meetergo may request repayment for fraud, deliberate abuse, or an overpayment that cannot reasonably be offset.

5. Resell pricing and automatic billing

Resell is available only while the Partner is approved for it, has an effective level of Silver or higher, and maintains valid billing and payment details.

The wholesale price is the current public monthly recurring price for the applicable meetergo plan, less the Resell discount for the Partner's effective level. The public price and applicable level are frozen on the monthly statement. Later public price or level changes do not rewrite it.

meetergo freezes eligible Partner-paid customers and licensed seats after each complete Berlin calendar month. Unless a written commercial agreement says otherwise, there is no proration inside the month. Variable pass-through and metered usage is billed separately and does not receive the percentage discount.

meetergo creates one consolidated Stripe invoice for the Partner and automatically charges the Partner's default payment method. The Partner owes meetergo regardless of whether its customer pays the Partner on time. Taxes are calculated from the Partner's valid billing and tax information.

The Partner decides its own customer price and invoices and collects from its customer independently. A customer price stored in meetergo is informational and does not charge the customer or change the Partner invoice.

6. Customer relationships, support, and data

Each customer must have a separate meetergo workspace, subscription, users, and lifecycle. Licences may not be pooled or moved between customers to avoid charges.

For an approved Resell relationship, meetergo grants the Partner a limited, non-exclusive, non-transferable, revocable authorisation to provide its authorised customer users access to that customer's approved workspace. This authorisation is the only Partner Program exception to a general restriction on sublicensing or providing third-party access. It applies only while the corresponding Resell subscription and Partner approval are active. It does not allow the Partner to resell the platform outside approved customer workspaces, grant access to another reseller, copy the software, or transfer any meetergo rights.

The Partner is responsible for its customer agreement, sales statements, customer billing, collections, onboarding, and first-line support. meetergo provides the platform and second- and third-line product support under the applicable agreement. The Partner must not give or request shared passwords. It must use Partner access and the normal invitation flow.

The Partner may enter or access customer information only when authorised by that customer and must comply with privacy, confidentiality, marketing, and data-protection law. Each party remains responsible for its own role under applicable data-protection law. The applicable Data Processing Agreement governs where meetergo processes personal data on documented instructions.

7. Brand and intellectual property

meetergo retains all rights in its software, documentation, trademarks, and brand assets. Approval grants the Partner a limited, non-exclusive, non-transferable, revocable right to use approved meetergo Partner materials only to market and support the authorised relationship.

The Partner must follow current brand guidance, must not register confusingly similar domains or marks, and must not alter a meetergo mark in a misleading way. No ownership transfers to the Partner or its customers.

8. Fair promotion and attribution

The Partner must market meetergo accurately and lawfully. Spam, purchased contact lists, false endorsements, self-referrals, hidden incentives, cookie stuffing, and misleading price or product claims are prohibited.

The Partner must submit only business contacts who expect the introduction. meetergo may reject duplicate, existing, fraudulent, or otherwise ineligible referrals and resolve attribution conflicts using its dated records.

9. Confidentiality

Each party must protect non-public commercial, customer, security, and product information received from the other party and use it only for the Partner relationship. This duty does not cover information that was already lawfully known, becomes public without breach, is independently developed, or must be disclosed by law. The duty continues after participation ends.

10. Suspension, termination, and handover

Either party may end the Partner relationship under the general Terms of Service or a written commercial agreement. meetergo may suspend access immediately to protect customers, security, billing, or the program while it investigates a material concern.

Ending approval blocks new Partner activity but does not erase customers, frozen statements, invoices, credits, payment obligations, or valid commission already accrued. After ordinary termination, commission for already approved Refer customers may continue only through each customer's original 12-month earning window. Fraud, deliberate abuse, or material breach may disqualify unpaid commission connected to that conduct.

Resell service, payment obligations, and customer support responsibility continue until the confirmed effective handover or service end. Customer transfer, closure, and billing changes require a controlled written process.

11. Changes and records

meetergo may update the program for future activity. A materially changed terms version requires acceptance by an authorised Partner company admin before continued use of Partner commercial tools. The accepted version, time, and accepting account are recorded.

New terms do not retroactively change a valid frozen statement, issued invoice, or commission event. Current level thresholds and rates must come from the version accepted for the event or from later written commercial terms expressly accepted by both parties.

12. Liability, law, and final provisions

The liability rules in the general Terms of Service apply unless mandatory law or written commercial terms require otherwise.

German law applies, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Where legally permitted, the exclusive place of jurisdiction is the registered office of meetergo GmbH.

If one provision is invalid, the remaining provisions continue to apply. Changes outside the versioned in-product acceptance process must be agreed in text form by authorised representatives.
